3. User Accounts

To use our services, you must:

• Be authorized to practice law or work in a legal capacity (for legal professional features)
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Enable multi-factor authentication when available
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. AI Features and Limitations

• Informational Purposes Only: AI-generated content is provided for informational purposes only and does not constitute legal advice
• Professional Review Required: All AI outputs must be reviewed and verified by qualified legal professionals before use in any legal matter
• No Attorney-Client Relationship: Use of AI features does not create an attorney-client relationship between you and Adam Legal Systems
• Accuracy Not Guaranteed: AI systems may produce inaccurate, incomplete, or outdated information. We do not guarantee the accuracy of AI-generated content
• Human Oversight: You are responsible for maintaining appropriate human oversight of all AI-assisted work
• Jurisdiction Variations: AI-generated legal information may not account for jurisdiction-specific variations in law

5. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Violate any applicable laws, regulations, or ethical rules
• Infringe on the rights of others, including intellectual property rights
• Upload malicious software, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with the proper functioning of the service
• Share your account credentials with unauthorized users
• Use AI features to generate content intended to deceive or defraud
• Circumvent AI safety measures or content filters
• Use the service to develop competing AI models or services

6. Data Ownership and Intellectual Property

Your Data: You retain all ownership rights to the data you upload to Adam Legal Systems. We do not claim ownership of your content. You grant us a limited license to host, store, process, and display your data solely for the purpose of providing our services to you.

AI-Generated Content: Content generated by our AI features based on your inputs belongs to you, subject to the following:

• You may use AI-generated content in your legal practice
• You are responsible for reviewing and verifying AI-generated content
• AI-generated content may be similar to content generated for other users given similar inputs

Our Property: The Adam Legal Systems platform, including its design, features, AI models, algorithms, and underlying technology, remains our exclusive property.

7. Confidentiality

We understand the sensitive nature of legal data. We maintain strict confidentiality measures and will not disclose your data except as required by law or as necessary to provide our services. We are committed to maintaining attorney-client privilege protections and have implemented technical and organizational measures to support this.

8. Payment Terms

Subscription fees are billed in advance on a monthly or annual basis as selected during signup. All fees are:

• Non-refundable except as required by law or as stated in our refund policy
• Subject to change with 30 days advance notice
• Exclusive of applicable taxes, which will be added as required

Failure to pay may result in suspension or termination of your account. We offer a grace period of 7 days for failed payments before service interruption.

9. Limitation of Liability

To the maximum extent permitted by law, Adam Legal Systems shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, business opportunities, or goodwill
• Errors, inaccuracies, or omissions in AI-generated content
• Decisions made based on AI-generated content
• Legal malpractice claims arising from reliance on AI features
• Service interruptions or data loss

Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.

10. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, either express or implied. Specifically, we disclaim:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranty that the service will be uninterrupted, error-free, or secure
• Any warranty regarding the accuracy, reliability, or completeness of AI-generated content

11. Indemnification

You agree to indemnify and hold harmless Adam Legal Systems, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or generate using the service
• Your use of AI-generated content in legal matters

12. Termination

Either party may terminate this agreement at any time. Upon termination:

• You will have 30 days to export your data
• We will provide data export tools and assistance upon request
• After the export period, we may delete your data per our retention policies
• Certain provisions of these Terms survive termination

We may terminate or suspend your account immediately for material breaches, including but not limited to non-payment, illegal activity, or violation of acceptable use policies.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the service at least 30 days before they take effect. Continued use of the service after changes constitutes acceptance of the modified terms. If you do not agree to the modified terms, you must stop using the service.

15. Miscellaneous

• Entire Agreement: These Terms, along with our Privacy Policy and AI Policy, constitute the entire agreement between you and Adam Legal Systems
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Our failure to enforce any right does not constitute a waiver of that right
• Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger or acquisition
